These Terms of Sale apply to paid Clivio subscriptions and complement the Terms of Service. The French version (Conditions générales de vente) is the reference version.
1. Seller
Clivio, trade name of Félix Boittin, Sole proprietor (French entrepreneur individuel / micro-entrepreneur) (“Clivio”) — SIRET 894 584 770 00024 — 10 rue des aqueducs, 94250 Gentilly, France — contact@clivio.app.
2. Customers
Subscriptions are offered to professionals (freelancers, businesses) and to consumers (adults acting for non-professional purposes). Clauses reserved to one of these groups say so.
3. Plans
- Free — €0, no credit card, no time limit: 50 documents and 50 AI actions per month.
- Pro — €14.90 per month, or €149 per year: 1,000 documents and 500 AI actions per month, plus the features listed on the pricing page at the time of subscription.
No multi-user plan is sold today (Team waitlist).
4. Prices
Prices are in euros. The seller is under the French VAT franchise regime: VAT not applicable, art. 293 B of the French General Tax Code (CGI). Displayed prices are final, with no VAT added.
5. 7-Day Free Trial
When you first subscribe to Pro through our payment page (Stripe Checkout), the first 7 days are free. A valid payment method is required to start the trial; nothing is charged during the trial. When it ends, the chosen subscription (monthly or annual) starts automatically and the first payment is taken, unless you cancelled before the end of the trial from the customer portal. One trial per customer.
6. Ordering and Payment
Payments are processed by Stripe; Clivio never sees your card details. Each period (month or year) is payable in advance by automatic charge. An invoice bearing the VAT-franchise mention is issued for each payment and is available in the customer portal. If a payment fails, we retry and notify you; if it is not settled, Pro features may be suspended and the account returned to the Free plan. For professionals, late payments bear statutory late-payment penalties (three times the French legal interest rate) and a €40 fixed recovery fee (art. L. 441-10 of the French Commercial Code).
7. Term, Renewal and Cancellation
Subscriptions renew automatically for the same period, with no commitment beyond the current period. Cancel at any time from the Stripe customer portal (available from your account settings): cancellation takes effect at the end of the period already paid, after which the account returns to the Free plan and its limits.
8. Right of Withdrawal (14 days)
Consumers have a statutory 14-day right of withdrawal from the date of subscription (art. L. 221-18 of the French Consumer Code); by subscribing, you expressly ask for the Service to start immediately. Professionals get the same 14-day option as a commercial guarantee. Withdraw in the app (subscription settings, “Withdraw from the contract here”, then confirm) or by sending the withdrawal form annexed to the French CGV, or any unambiguous statement, to contact@clivio.app. We acknowledge receipt by email without delay, stop the subscription immediately, return the account to the Free plan and refund all amounts paid for that subscription within 14 days, on the original payment method. Withdrawing during the free trial means nothing is charged.
9. Other Refunds
- After the 14-day period: started periods are not refunded; cancellation takes effect at the end of the current period.
- Billing errors (double charge, charge after cancellation) are refunded.
10. Changes to Prices and Terms
Any change is notified by email at least 30 days before it applies, from the next period; you can cancel before then.
11. Guarantees and Liability
AI results must be checked by the customer. Consumers benefit from the legal guarantee of conformity for digital content and services (art. L. 224-25-12 et seq. of the French Consumer Code) throughout the subscription; nothing in these Terms limits statutory rights. Professionals: the seller has an obligation of means; liability is excluded for indirect damages and limited to the amounts paid in the previous 12 months, except for gross negligence or wilful misconduct.
12. Governing Law, Mediation and Disputes
French law applies; consumers living in another EU country keep the protection of the mandatory rules of their country of residence. Disputes are first settled amicably by writing to contact@clivio.app. Consumers may also refer the dispute free of charge to a consumer mediator (see the French CGV). Failing agreement, disputes go before the competent French courts; consumers may sue in the court of their domicile. Where both parties are merchants, the Commercial Court of Créteil (France) has jurisdiction.
