These Terms of Service govern the use of Clivio, an AI-assisted document management platform published by Clivio, trade name of Félix Boittin, French sole proprietor (“Clivio”) (see the Legal Notice). The French version (Conditions générales d’utilisation) is the reference version.
1. Acceptance and Audience
By creating an account or using Clivio (the “Service”), you accept these Terms. The Service is open to professionals (freelancers, businesses) and to adult consumers. If you act for a company, you declare that you are authorized to bind it. Some clauses apply only to professionals or only to consumers; they say so.
2. The Service
Clivio centralizes your documents (upload, forwarding to your @inbox.clivio.app address, Dropzone), extracts key data with AI, files them and helps you track due dates. Available features depend on your plan (Free or Pro, see pricing). Features announced as “coming soon” are not part of the Service until they are released. Clivio is not an accredited e-invoicing platform and does not replace your accounting software, your accountant or your legal retention obligations.
3. Artificial Intelligence
AI results (extracted data, summaries, classifications, answers) are suggestions that may contain errors; check them before relying on them. Document content is processed by the Google Gemini API to provide these features (see the Privacy Policy).
4. Account and Security
- Provide accurate information and keep it up to date.
- You are responsible for your credentials and for activity on your account; one account is for one person.
- Tell us immediately at contact@clivio.app about any unauthorized use.
5. Your Content
You retain all rights to the documents you upload. You grant us, only for the duration and purposes of providing the Service, the right to host and process them (including through our sub-processors, such as the AI provider) and to display them to you. When your documents contain third parties’ personal data, Clivio acts as your processor under the DPA.
6. Acceptable Use
You must not use the Service unlawfully, upload unlawful, infringing or malicious content, attempt unauthorized access, circumvent plan limits, disrupt the Service or create accounts automatically. We may suspend an account in case of breach, after notice except in urgent cases.
7. Plans and Subscriptions
The Free plan requires no credit card and has no time limit, within its usage limits. Paid subscriptions (Pro) are governed by the Terms of Sale.
8. Availability
We use reasonable efforts to keep the Service available, without guaranteeing uninterrupted access. Keep copies of important documents; you can export them at any time.
9. Liability
Professionals: to the extent permitted by law, Clivio is not liable for indirect damages, and total liability is limited to the amounts you paid in the 12 months preceding the event (or €100 if you only use the Free plan). These limits do not apply to gross negligence or wilful misconduct.
Consumers: Clivio is liable under general law. Nothing in these Terms limits your statutory rights, including the legal guarantee of conformity for digital content and services.
10. Termination and Account Deletion
You can delete your account at any time from the app settings; your data and documents are erased no later than 30 days after your request, except billing records we must keep by law.
11. Changes
Material changes are announced by email or in the app at least 30 days before they apply; if you disagree, you can delete your account.
12. Governing Law and Disputes
These Terms are governed by French law, whatever the user’s country. The parties will first seek an amicable solution (write to contact@clivio.app); consumers may also refer the dispute free of charge to a consumer mediator (see the French CGV). Failing that, disputes are brought before the competent French courts; consumers may sue in the court of their domicile, and where both parties are merchants, the Commercial Court of Créteil (France) has jurisdiction.
